Non-Disclosure and Non-Circumvention Agreement

As per our agreements with all property owners, you must agree to the terms of this non-disclosure form (NDA) before we can provide detailed information. This is not a Buyer Agency Agreement.

The undersigned prospective Buyer (Buyer), and/or his assigns, by submitting this agreement, agree as follows:
1. That any information provided by Broker on any business is confidential and will not be disclosed to any other person who has not also signed this or similar agreement, except for Buyer's professional business advisors. Information shall also include the fact that any business is for sale. All information received by Buyer regarding specific businesses/property is considered proprietary.
2. The Buyer will not contact the owner of any property/business disclosed to Buyer, or their employees, suppliers, competitors, customers, and Realtors except through Broker. All correspondence, inquiries, offers to purchase, and negotiations with regard to purchase of any disclosed property/business will be conducted through Broker.
3. Buyer agrees not to circumvent or interfere with Broker's contract with the Seller or Seller's Agent in any way; Buyer understands that all information that if he/she interferes with the Broker's contractual right to its fee from Seller, the Buyer may be personally liable to Broker for payment of the Seller's Fee. If the Buyer purchases a business listed on www.InnMatchmakers.com through the Broker, the Buyer will not be charged a fee unless otherwise agreed upon through a Buyer Agency Agreement.
4. That all information regarding property/business for sale is provided by the respective Sellers without verification in any way by Broker. Broker makes no warranty, express or implied, as to the accuracy of such information, and recommends that prospect make an independent verification of such information prior to closing on the purchase of any property/business. Buyer assumes full responsibility for his/her reliance on such information and expressly waives all rights of recourse, if any, against Broker.
5. That all information provided by Buyer shall be used for the sole purpose of evaluating the acquisition decision and shall not, in any manner, be used for other purposes. Buyer shall promptly advise Broker when its investigations or negotiations are completed.
6. That Broker may be acting in any of the following agency relationships; Buyer, Seller, Transaction, depending upon contractual obligations, and in accordance with specific Listing Contracts and/or Buyer Agency Contract. Should the undersigned enter into a contract to purchase any of the disclosed properties/businesses without going through the Broker, the undersigned agrees to pay as consideration to Inn Matchmakers, LLC, an amount equal to the actual commission due Broker. This paragraph shall remain in force for a period of seven hundred thirty (730) days.
7. Should the undersigned enter into a Buyer Agency Agreement with a Broker other than Inn Matchmakers, LLC with the intent to purchase any of the properties introduced to Buyer by Inn Matchmakers, LLC, Buyer acknowledges that Inn Matchmakers, LLC is the procuring cause, and is thereby entitled to a 25% referral fee from Selling Broker.
8. Buyer acknowledges that any breach of this Agreement, directly or indirectly, shall be deemed harmful to Seller and Broker.
This Agreement is made effective the date shown below and is by and between Inn Matchmakers, LLC and the undersigned Buyer who acknowledges that he/she has read, understands and has received a copy of this Agreement and the Colorado Agency Relationship Disclosure.    (* indicates required fields.)
